Terms of Use

Effective Date: April 3, 2026

1. Eligibility and Licensing

You represent and warrant that:

• You are a licensed insurance agent or broker in Canada
• Your license is valid and in good standing
• You are legally permitted to sell and market insurance products in the provinces where leads are located
• You are responsible for complying with all provincial insurance regulations
• You will provide proof of licensing upon request

We reserve the right to suspend or terminate accounts for unlicensed users.

2. Lead Purchase and Ownership

By purchasing leads from Verity Growth:

• You are purchasing non-exclusive rights to contact the lead, unless explicitly sold as exclusive
• Exclusive leads are exclusive for a limited time period only
• After the exclusivity period, leads may be resold, redistributed, or remarketed
• Verity Growth retains ownership of all lead data
• Leads may be resold as aged leads after exclusivity expires
• We do not guarantee lead exclusivity beyond the stated exclusivity period

3. No Guarantee of Performance

Verity Growth does not guarantee:

• Contact rate or conversion rate
• Sales or appointments
• Lead accuracy or quality
• Return on investment
• That the lead has not previously requested insurance information elsewhere

All leads are sold as-is.

4. Compliance with Laws

You agree that you are solely responsible for complying with:

• Canada's Anti-Spam Legislation (CASL)
• Do Not Call regulations
• PIPEDA and privacy laws
• Provincial insurance regulations
• Telemarketing, SMS, and email marketing laws

You are responsible for:

• Obtaining any required additional consent
• Maintaining unsubscribe systems and do-not-contact lists
• Handling removal requests promptly
• Properly identifying yourself in communications
• Maintaining call records where required

Verity Growth is not responsible for how you contact or communicate with leads.

5. Do Not Contact and Removal Requests

If a lead requests to unsubscribe, be removed, or stop any communications, you agree to:

• Immediately mark the lead as Do Not Contact in the platform
• Stop contacting the lead immediately
• Maintain your own internal Do Not Contact list
• Comply with CASL unsubscribe requirements

Failure to comply may result in account termination.

6. Prohibited Uses of Leads

You may not:

• Resell or share leads with other agents or companies
• Upload leads to public databases
• Use leads for unrelated marketing
• Spam or harass leads
• Misrepresent yourself as Verity Growth or RateSaving Scout
• Violate CASL or telemarketing laws
• Use automated spam systems
• Use leads outside Canada
• Contact leads after removal requests

7. Limitation of Liability

Verity Growth shall not be liable for:

• Lead quality, incorrect contact information, or unreachable leads
• Leads not converting or any sales losses
• Any regulatory penalties, CASL violations, or telemarketing violations
• Any misuse of leads by agents
• Any disputes between agents and leads

Total liability is limited to the amount paid for the leads.

8. Indemnification

You agree to indemnify and hold harmless Verity Growth Inc. from any claims, fines, damages, lawsuits, or regulatory actions arising from:

• Your communications with leads
• CASL, telemarketing, or privacy law violations
• Insurance regulatory violations
• Your use of the leads or failure to stop contacting a lead
• Your marketing practices, advice, or recommendations
• Any complaints from leads

9. Payments and Refunds

All lead purchases are final unless otherwise agreed in writing. We do not guarantee refunds for unresponsive leads, wrong numbers, leads that do not convert, leads who already have insurance, or leads who do not answer.

Refunds may be issued only for:

• Duplicate leads
• Fake leads
• Invalid contact information (at our discretion)

10. Account Suspension or Termination

We may suspend or terminate accounts for:

• CASL violations or harassment complaints
• Regulatory complaints or chargebacks
• Non-payment or misuse of leads
• Reselling leads, sharing accounts, or violating these Terms

11. Ownership of Platform

All software, CRM, systems, dashboards, and lead data belong to Verity Growth Inc. You may not copy, reverse engineer, or replicate the platform.

12. Governing Law

These Terms are governed by the laws of Manitoba, Canada. Any disputes shall be resolved in the courts of Manitoba.

13. Entire Agreement

These Terms constitute the entire agreement between Verity Growth and the Client regarding lead purchases and platform use.
